Business name availability tests

We will apply 14 automated tests to determine if a proposed business name is available. We will be closely monitoring the application of our new names availability check and may determine to manually review a higher number of results in the early days of operation. We will also regularly update our website content and frequently asked questions to reflect common queries we are receiving about names availability.

The tests we will use include:

Undesirable words or expressions

Restricted words or expressions

Name held for transfer

Identical names registered or reserved under the Corporations Act 2001

Identical business names and other lists

Business names registered to another entity body

Names registered to another entity body on a state or territory register

Business names held subject to finalisation of an activity

Invalid characters

Your proposed name will be checked for the existence of any characters that are invalid for use in a business name.

Acceptable characters are all numbers, upper and lower-case letters as well as special characters included in the Valid Character Set table below.

Example

The business name '[Modern Robots]' would be rejected as it contains invalid characters. The invalid characters are '[' and ']'.
'Modern (Robots)' would be acceptable.

Undesirable words or expressions

Your proposed business name will be checked for any words or expressions which, for example:

in our opinion, are likely to be offensive to members of the public or any section of the public, or
are misleading in that they suggest a connection with a prescribed entity that does not exist (for example, your name incorrectly suggests a connection to government, the Royal Family or specified person such as Sir Donald Bradman or Mary McKillop).

Example

If a member of the public sought to register the business name Department of Finance Money Exchange, it would be refused as the name suggests a connection to the Commonwealth Department of Finance where no such connection exists.

Restricted words or expressions

Your proposed business name will be checked for the existence of a restricted word or expression. If a restricted word or expression is identified, you may require Ministerial (or other) consent to register the name.

A word or expression that has the same or a similar meaning to a restricted word or expression is also a restricted word in relation to entities and businesses. You may require Ministerial (or other) consent to register the name.

The business name online charity auctions would be checked as it contains a restricted word charity.

Example 2

The business name Left Bank Cafe would be checked because of the inclusion of the term bank. We would consider the context in which it is used in the proposed business name. Bank is a restricted word but would be permitted if used in a geographical sense.

Name held for transfer

Your proposed business name will be checked against the list of business names held for transfer from the current holder to a new holder.

Example

The business name Wangaratta Kites has been cancelled under an arrangement where a business is being sold to another party. The current business name holder must cancel the business name - and in the course of cancelling the name - must notify us of their consent to transfer this business name to another holder. We will then provide the current business name holder a consent to transfer number to give to the proposed new business name holder.

The proposed new business name holder can apply to register this business name using the consent to transfer number. This will enable them to register the name before it becomes available to the public. Their registration will not come into effect before the previous registration has been cancelled. More information about the process to cancel a business name and request a consent to transfer number will be available shortly.

Identical names registered or reserved under the Corporations Act 2001

Your proposed business name will be checked for an identical match against a name registered or reserved to another body under the Corporations Act 2001.

The identical match is assessed after the following matters are disregarded. (See Part 1, Schedule 6 of the Corporations Regulations 2001.)

Identical business names and other lists

Your proposed business name will be checked for an identical match against existing business names and other notified lists (such as a list of government body names).

An identical match is assessed after the following matters are disregarded. (See section 5 of the Business Names Registration (Availability of Names) Determination 2012.)

Business names registered to another body

Your proposed business name will be checked for an identical match against existing registered business names. This includes all registered or held business names passed to us from a state or territory register on commencement of the national business name service.

For these names passed to us from other registers, we have the discretion, in consultation with the business name holder, to add a distinguishing word or expression to a business name record. The distinguishing word or expression will not form part of the business name.

Names registered to another body on a state or territory register

This test is for an identical match against names registered to another body on a notified state or territory register (see Schedule 1 of the Business Names Registration Act 2011). Notified registers include - depending on the state or territory - cooperative, incorporated association, limited and/or incorporated limited partnership registers.

Business names held subject to finalisation of an activity

We will check a proposed business name against our list of held business names which are the subject of a registration application which has been submitted to ASIC, but await confirmation of the registration of an Australian Business Number, payment of the registration fee within the prescribed period or cancellation of the registration where a consent to transfer number has been provided by the applicant.

Example 1

The business name Bank Street Cafeteria is passed to us from the NSW Business Name Registrar on commencement of the national business name service. However, we are asked to 'hold' the business name as there is an outstanding matter to be finalised by the NSW Registrar. We will hold this name and it will not be available for registration by another party until we are advised by the state registrar to either register the business name (in which case it will remain unavailable) or cease to hold the business name (in which case it will become available).

Example 2

The business name Castlemaine French Antiques has been accepted for registration. However, the registration fee was not paid online and we therefore hold the name pending payment of the registration fee, due within 10 business days of the application being lodged. The name is not available for registration by another party while it is held.

Words and expressions considered to have the same meaning

Your business name will be checked for a nearly identical match in consideration of words and expressions taken to mean the same. When comparing a business name with another name to determine whether the names are nearly identical, a word or expression is taken to be the same as each other word or expression in that word group. (See Schedule 1 of the Business Names Registration (Availability of Names) Determination 2012.)

Words that sound the same

Your proposed business name will be checked to see if it produces a pronunciation 'match' result against another name on the register. This test will be undertaken using the literal transcription of the proposed business name and the names against which it is being compared to determine if the names sound the same.
